The terms that govern use of Sentinely

1. Acceptance of Terms

By accessing or using Sentinely ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms constitute a legally binding agreement between you and Sentinely.

2. Description of Service

Sentinely provides server, endpoint, heartbeat, public-status, reporting, and AWS cost and resource-change monitoring. Some features require an agent or a connection to a third-party service. We may modify, suspend, or discontinue aspects of the Service.

3. Account Registration

To use our Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain and update your information to keep it current
  • Keep your account credentials secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Service.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or illegal activity
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to monitor servers you do not own or have authorization to monitor
  • Transmit malware, viruses, or other malicious code through the Service
  • Circumvent any usage limits or restrictions
  • Use automated systems to access the Service in a manner that exceeds reasonable request volumes

5. Subscription and Billing

5.1 Pricing

Our Service is offered through subscription plans with varying features and limits. Current pricing is available on our website. Prices are subject to change with 30 days notice.

5.2 Free Trial

Current plans include a 14-day trial. Checkout states whether a payment method is required and when billing begins. At the end of a trial, a paid subscription may be required to continue using paid features.

5.3 Payment

Paid subscriptions are billed in advance monthly or annually using the payment methods shown by the billing provider at checkout. You authorize recurring charges according to the order presented at checkout. Failed payments may result in service suspension.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

5.5 Payment Processing

Payment transactions are processed by the provider identified at checkout. By paying, you also agree to that provider's terms and privacy policy. Sentinely does not store full card credentials.

6. Service Availability and SLA

Unless a separate written order says otherwise, the Service has no guaranteed service level. We do not guarantee uninterrupted or error-free service. Planned maintenance will be announced when reasonably practical.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7. Data and Privacy

Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

You retain all ownership rights to your data. You grant us a limited license to process your data solely to provide and improve the Service. Upon account deletion, we will delete your data in accordance with our Privacy Policy.

8. Intellectual Property

The Service, including its software, design, logos, and content, is owned by Sentinely and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of any data you submit to the Service. We do not claim any intellectual property rights over your monitoring data or server information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF MONITORING DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION

Monitoring data and alerts are provided for informational purposes. You should not rely solely on our Service for critical infrastructure decisions without independent verification.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINELY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Server downtime or failures not detected by the Service
  • Costs of substitute services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SENTINELY IN THE 12 MONTHS PRECEDING ANY CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sentinely and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your server configurations or data

12. Termination

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. We may also terminate accounts that remain inactive for extended periods.

Upon termination, your right to use the Service ceases immediately. Where available and legally permitted, we will provide a reasonable opportunity to retrieve account data before deletion.

13. Dispute Resolution

Before filing a formal claim, each party agrees to attempt to resolve disputes through good-faith written notice and negotiation, except where urgent injunctive relief is necessary.

14. Governing Law

These Terms are governed by the laws applicable to Seven Hills Software as the operator of Sentinely, without overriding consumer protections that cannot lawfully be waived in your jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sentinely regarding the Service. These Terms supersede any prior agreements or communications.

17. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor in interest without restriction.

18. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.
